Introduction

EQUA gather, store and use “personal data” as defined by the European Union Regulation (EU) 2016/679, commonly known as General Data Protection Regulation (GDPR), in order to market its products and services to you. The collection and processing of personal data is subject to restrictions aimed at protecting the privacy of individuals.

This privacy policy describes the collection and processing of personal data by or for EQUA in connection with its websites (the “Site”), its software products, its applications, its events, and its other interactions, communications, and activities. If you do not agree with these terms, please do not access or use the Site or otherwise provide EQUA with your personal data.

The Site is owned and operated by EQUA Simulation AB, and EQUA software products are published by EQUA Simulation AB. EQUA Simulation AB is a corporation duly organized and existing under the laws of Sweden, registered in the Swedish Company Register under registration number 556612-2411, having its principal place of business at Råsundavgatan 100, SE-169 57 Solna, Sweden. EQUA Simulation AB and its subsidiaries and affiliates are referred to collectively in this Privacy Policy as “EQUA”. This Privacy Policy applies to EQUA and their successors and assigns.

Please note that EQUA is not responsible for the content or privacy practices of third party websites to which https://www.equa.se or any other EQUA website, software product, and/or application may link to or from. Nor is EQUA responsible for the privacy practices of any partner or other third party having a relationship with EQUA, except with respect to their authorized activities in processing data on behalf of EQUA.

 

Personal data

We request very little identifying information from you and only for specific set of purposes.

The personal data we might hold on you is:

  • Full name
  • Company name
  • Email address
  • Job role
  • Company address, including postcode
  • Company telephone and mobile number
  • IP address
  • Email marketing preferences

 

Use of data

EQUA’s purpose in collecting and processing your data is to provide you with access to assets and/or services that you request or that we believe will enhance your experiences with EQUA and its products. If you have contact with EQUA as a representative for your organization, EQUA will process your personal data in order to be able to fulfil EQUA’s commitment to your organization. We may also use your data for the following purposes:

  • To enable you to request and receive information about EQUA, its events, and its products;
  • To provide you with personalized access to and tailored content on the Site;
  • To enhance your interaction with the Site by storing and subsequently presenting, when you next visit the Site, such data you submit through forms, support services, and other ways for transferring data;
  • To allow you to download and install software, software updates, and trial versions of the software, as well as documentation and other materials made available by EQUA or other third parties associated with EQUA;
  • To provide accurate threading in discussion forums;
  • To enable you to register for, and to track your participation in a webinar, workshop, conference, or other event hosted by EQUA or third parties associated with EQUA;
  • To enable any partner who may be responsible for selling licenses to our software and providing support in your territory to serve you;
  • To provide technical assistance and targeted documentation suited to your particular needs;
  • To enable trusted third parties associated with EQUA to contact you in accordance with your preferences and/or to obtain your consent to communicate with you in accordance with their privacy policies;
  • To process an employment application from you;
  • To enable EQUA to evaluate the user experience of the Site and any potential areas for improvement;
  • To enable EQUA to manage its business relationships, such as sales opportunities, commercial offers, and contracts;
  • To enable EQUA to deliver products or materials through postal services, courier companies, and other means of shipping;
  • To enable EQUA to manage its research and development activities, including bug reports, feature requests, feedback on quality, and performance testing;
  • To conduct internal audits and investigations;
  • To conduct assessments to identify conflicts of interest;
  • To disclose data to governmental institutions or supervisory authorities as applicable in all countries in which EQUA operates;
  • For record keeping and reporting obligations, compliance with government inspections/ audits, responding to requests from government or other public authorities, and responding to legal processes such as subpoenas;
  • To establish, exercise, manage, and/or defend against legal claims that EQUA may have or may be subjected to; and
  • Any other purposes associated with the purpose of carrying out the business of EQUA.

The legal basis on which EQUA relies for the above use of your data includes:
  • Processing of your personal data where you have given consent for one or more specific purposes;
  • Processing of your personal data that is necessary for performing a contract to which you are party;
  • Processing of your personal data that is necessary to take steps at your request prior to entering into a contract;
  • Processing of your personal data that is necessary for EQUA to comply with a legal obligation; and
  • Processing of your personal data that is necessary for the purposes of the legitimate interests of EQUA or a third party, except where those interests are overridden by your fundamental rights and freedoms which require protection of personal data.

 

Data security

EQUA uses recognized technology and tools to protect the security of your data. Yet, due to the fact that no security system is impenetrable, EQUA cannot completely and entirely guarantee the data security of EQUA’s security systems. If these systems are breached and your data is compromised as a result of this, we will take reasonable steps to investigate the breach and, where appropriate, notify you about which data may have been compromised. EQUA will also take other steps to address the breach in accordance with any applicable laws and regulations.

 

Transfer of data

EQUA, its subsidiaries, and partners are the parties responsible for the management of EQUA’s jointly-used storage of personal data. Contact information for EQUA Simulation AB can be found at the bottom of this policy. As a global organization, the data you provide to EQUA may be transferred to or used by subsidiaries or partners of EQUA and trusted third parties for the purposes described above, including locations outside the European Economic Area.

 

Data storage retention

All data that is collected will be stored only as long as is necessary to accomplish the purpose for which it is collected, or as long as is permitted or required by applicable law. Periodically, EQUA will review its data processing systems to determine whether or not the purposes for the collection and processing of your data remain valid. That determination will be based on factors that include, but are not limited to, whether or not you are still in contact with EQUA, whether or not any requests made by you from EQUA have been fulfilled (including any follow-up tasks), whether or not there is a contractual relationship between you and EQUA, and whether or not there is a contractual or legal basis for continuing to retain your data. Based on that review and any notifications received from data subjects, EQUA will update its systems.

 

Use of cookies

A cookie is a small text file that is saved to, and, during subsequent visits, retrieved from your computer or mobile device. EQUA uses cookies to enhance and simplify your visit. We do not use cookies to store personal information or to disclose information to third parties.

There are two types of cookies: permanent and temporary (session cookies). Permanent cookies are stored as a file on your computer or mobile device for no longer than 12 months. Session cookies are stored temporarily and disappear when you close your browser session.

You can easily erase cookies from your computer or mobile device using your browser. For instructions on how to handle and delete cookies please look under "Help" in your browser. You can choose to disable cookies or to receive a notification each time a new cookie is sent to your computer or mobile device.

We use third-party cookies to collect statistics in aggregate form in analysis tools such as Google Analytics. The cookies used are both permanent and temporary cookies (session cookies). The permanent cookies are stored on your computer or mobile device for no longer than 24 months.

 

Your legal rights

Under certain circumstances, you have rights under data protection laws in relation to your personal data. These include the right to:

We may need to request specific information from you to help us confirm your identity and ensure your right to access your personal data (or to exercise any of the other rights). We try to respond to all legitimate requests within one month. Occasionally it may take us longer than a month if your request is particularly complex or you have made a number of requests. In this case, we will notify you and keep you updated.

END-USER LICENSE AGREEMENT

EQUA SOFTWARE END USER LICENSE AGREEMENT

IMPORTANT: This software end user license agreement ("EULA") is a legal agreement between you (either an individual or, if purchased or otherwise acquired by or for an entity, an entity) and EQUA. Read it carefully before completing the installation process or using the software. It provides a license to use the software and contains warranty information and liability disclaimers. By installing or using the software, you are confirming your acceptance of the software and agreeing to become bound by the terms of this agreement. If you do not agree to be bound by these terms, then do not install or use the software and return the software to your place of purchase for a refund.

This EULA shall apply only to the software supplied by EQUA herewith regardless of whether other software is referred to or described herein.

Please note that your use of the Software constitutes your acceptance of EQUA's Privacy Policy, found at www.equa.se/en/privacy-policy.

1. DEFINITIONS
(a) "EQUA" means EQUA Simulation AB and its licensors, if any. EQUA is a Swedish corporation with its principal offices located at Råsundavägen 100, SE-169 57 Solna, Sweden, telephone +46 8 546 20 110. EQUA's web address is www.equa.se. (b) "Software" means only the EQUA software program(s), in each case, supplied by EQUA herewith, and corresponding documentation, associated media, printed materials, and online or electronic documentation.

(c) "Affiliate" means an EQUA partner that has the rights to resell the Software and to provide support for the Software.

(d) “Network Version” means a version of the Software where a floating license system is used.

(e) “License Manager” means a license handling software running on a server, required in order to run the Network Version.

(f) "Cloud Version" means a web-based version of the Software, running remotely on servers in the cloud (on internet).

(g) "Free Version" means a limited version of the Software that is offered free of charge. The Free Version is offered both as a downloadable executable and as Cloud Version.

(h) "Trial Version" means a version of the Software, so identified, to be used only to review, demonstrate and evaluate the Software for a limited time period. The Trial Version may have limited features, and will cease operating after a predetermined amount of time due to an internal mechanism within the Software.

2. GRANT OF LICENSE
The licenses granted in this Section 2 are subject to the terms and conditions set forth in this EULA:

(a) You may install and use the Software on a single computer; OR install and store the Software on a storage device, such as a network server, used only to install the Software on your other computers over an internal network, provided you have a license for each separate computer on which the Software is installed and run. A license for the Software may not be shared, installed or used concurrently on different computers.

(b) If the Software is a Network Version, then you may install the Software at multiple physical addresses and for any number of computers on your WAN (Wide Area Network), and the Software may be used concurrently on different computers, connected to the WAN, up to the maximum number of floating seats licensed. WAN licenses are restricted to be used within one country only, unless otherwise explicitly granted by EQUA.

(c) For Network Versions, a License Manager has to be installed and activated on a (physical or virtual) server that can be reached by all client computers running the Software. It is not possible to move the License Manager, and the licenses, to another physical or virtual server, due to e.g. load balancing. Doing this will trigger the cloning warning and the licenses will be automatically deactivated. All reactivation costs due to cloning will be held by the customer.

(d) If the Software is a Free Version, you may install and use the Software concurrently on any number of your computers.

(e) If the Software is both a Free Version and a Cloud Version, you may use the Software for unlimited use, as long as the terms in Section 3 are fulfilled.

(f) If the Software is a Trial Version, then you may install and use the Software on a single computer, and for non- commercial use only. The Trial Version is for a limited time period only, as specified in the delivery notice. If no such limit is specified, the time limit is thirty (30) days, or as otherwise authorized in writing by EQUA or its Affiliates.

(g) You may make one copy of the Software in machine-readable form solely for backup purposes. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of the Software. You may not sell or transfer any copy of the Software made for backup purposes.

(h) You agree that EQUA may audit your use of the Software for compliance with these terms at any time, upon reasonable notice. In the event that such audit reveals any use of the Software by you other than in full compliance with the terms of this Agreement, you shall reimburse EQUA for all reasonable expenses related to such audit in addition to any other liabilities you may incur as a result of such non-compliance.

(i) Your license rights under this EULA are non-exclusive.

(j) Mandatory Product Activation. The license rights granted under this Agreement may be limited unless you supply information required to activate your licensed copy in the manner described during the setup sequence of the Software. You may need to activate the Software through the use of the Internet, e-mail or telephone; toll charges may apply. There are technological measures in this Software that are designed to prevent unlicensed or illegal use of the Software. You agree that EQUA may use those measures and you agree to follow any requirements regarding such technological measures. You may also need to reactivate the Software if you modify your computer hardware or alter the Software. Product activation is based on the exchange of information between your computer and EQUA. None of this information contains personally identifiable information nor can they be used to identify any personal information about you or any characteristics of your computer configuration.

3. CLOUD VERSION
(a) A high speed internet connection is required for proper transmission of and access to the Cloud Version. You are responsible for procuring and maintaining the network connections that connect your network to the Cloud Version, including, but not limited to, "browser" software that supports protocols used by third parties, including Secure Socket Layer (SSL) protocol or other protocols accepted by third parties and to follow procedures for accessing services that support such protocols.

(b) To use the Cloud Version you must register a cloud account via an Affiliate website and provide required user information.

(c) When registering an account you must provide a valid e-mail address. You acknowledge and agree that you will provide true, accurate, current, and complete information as requested when registering an account.

(d) You are only allowed to register and use one account for the Cloud Version.

(e) You are not permitted to transfer your account to another person or entity, unless specifically permitted in writing by EQUA.

(f) EQUA may share your registration information with its Affiliates and third parties to handle and deliver certain online activities necessary to operate EQUA's businesses (e.g. process orders and payments for the Software).

(g) EQUA reserves the right to terminate inactive Cloud Version sessions, or Cloud Version sessions that consume more computer resources (processor, memory, disk) than normal, at its sole discretion and without prior notification, which might result in lost data and results.

(h) EQUA and its Affiliates reserve the right to refuse licensing the Cloud Version, its service, disable or block accounts, or cancel orders in their sole discretion for any reason whatsoever, including, without limitation, if you provide registration information which is false, inaccurate, not current, or incomplete, or if you are violating any other terms in this agreement.

(i) Please note that your use of the Software constitutes your acceptance of EQUA's Privacy Policy (http://www.equa.se/en/privacy-policy).

4. LICENSE RESTRICTIONS
(a) Other than as set forth in Section 2, you may not make or distribute copies of the Software, or electronically transfer the Software from one computer to another or over a network.

(b) You may not alter, merge, modify, adapt or translate the Software, or decompile, reverse engineer, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Software or any subsequent version thereof or any part thereof.

(c) Unless otherwise provided herein, you may not directly or indirectly sell, rent, lease, give, lend, license, sublicense, or redistribute the Software.

(d) Other than with respect to the Free Version or the Trial Version of the Software, you may only transfer your rights under this EULA with the written consent from EQUA, and as part of a sale or transfer, provided you retain no copies, you transfer all of the Software (including all component parts, the media and printed materials, any upgrades, this EULA, the license keys, and, if applicable, all other software products provided together with the Software), and the recipient agrees to the terms of this EULA. If the Software is an upgrade, any transfer must include all prior versions of the Software from which you are upgrading. You may retain no copies of the Software. You may not sell or transfer any Software purchased under a volume discount. You may not sell or transfer any Trial Version of the Software.

(e) Unless otherwise provided herein, you may not modify the Software, or use macros or any other automation technologies that could extend the functionality of the Software, or create derivative works based upon the Software.

(f) Unless otherwise provided herein, you shall not (A) in the aggregate, install or use more than one copy of the Trial Version of the Software, (B) download the Trial Version of the Software under more than one username, (C) alter the contents of a hard drive or computer system to enable the use of the Trial Version of the Software for an aggregate period in excess of the trial period for one license to such Trial Version, (D) disclose the results of software performance benchmarks obtained using the Trial Version to any third party without EQUA's prior written consent, or (E) use the Trial Version of the Software for a purpose other than the sole purpose of determining whether to purchase a license to a commercial version of the software; provided, however, notwithstanding the foregoing, you are strictly prohibited from installing or using the Trial Version of the Software for any commercial training purpose.

(g) You may only use the Trial Version of the Software to review and evaluate the Software.
(h) You may receive the Software in more than one medium, but you shall only install or use one medium. Regardless of the number of media you receive, you may use only the medium that is appropriate for the server or computer on which the Software is to be installed.

(i) You shall not use the Software to develop any application having the same primary function as the Software.

(j) In the event that you fail to comply with this EULA, EQUA may terminate the license and you must destroy all copies of the Software (with all other rights of both parties and all other provisions of this EULA surviving any such termination).

5. UPGRADES
If this copy of the Software is an upgrade from an earlier version of the Software, it is provided to you on a license exchange basis. You agree by your installation and use of such copy of the Software to voluntarily terminate your earlier EULA and that you will not continue to use the earlier version of the Software or transfer it to another person or entity unless such transfer is pursuant to Section 3.

6. OWNERSHIP AND RIGHTS
(a) The foregoing license gives you limited license to use the Software. EQUA retains all right, title and interest, including all copyright and intellectual property rights, in and to, the Software (as an independent work and as an underlying work serving as a basis for any application you may develop), and all copies thereof. All rights not specifically granted in this EULA, including Federal and International Copyrights, are reserved by EQUA.

(b) EQUA warrants that, to the best of its knowledge and information, it holds all right, title and interest in and to the Software and any and all underlying codes or other intellectual property contained within the Software.

(c) Intellectual Property Rights. The Software, the structure, organization and code embodied in the Software are the valuable and confidential trade secrets of EQUA and are protected by intellectual property laws and treaties. You agree to take all reasonable measures to protect EQUA's intellectual property rights and to abide by all applicable laws.

7. LIMITED WARRANTY AND DISCLAIMER
(a) Except with respect to any Sample Application Code and Trial Version of the Software, EQUA warrants that, for a period of ninety (90) days from the date of delivery (as evidenced by a copy of your receipt): (i) when used with a recommended hardware configuration, the Software will perform in substantial conformance with the documentation supplied with the Software; and (ii) the physical media on which the Software may be furnished will be free from defects in materials and workmanship under normal use.

(b) EQUA provides no remedies or warranties, whether express or implied, for any sample application code and trial version of the software. Any sample application code and trial version of the software are provided "AS IS".

(c) Except as set forth in the foregoing limited warranty with respect to software other than any sample application code and trial version, EQUA and its suppliers disclaim all other warranties and representations, whether express, implied, or otherwise, including the warranties of merchantability or fitness for a particular purpose. Also, there is no warranty of non-infringement and title or quiet enjoyment. EQUA does not warrant that the Software is error-free or will operate without interruption. No rights or remedies referred to in article 2a of the Uniform Commercial Code (UCC) will be conferred on you unless expressly granted herein.

(d) If applicable law requires any warranties with respect to the software, all such warranties are limited in duration to ninety (90) days from the date of delivery.

(e) No oral or written information or advice given by EQUA, its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of any warranty provided herein.

(f) Some countries and states do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from country to country, and from state to state.

8. EXCLUSIVE REMEDY
Your exclusive remedy under the preceding is to return the Software to the place you acquired it, with a copy of your receipt and a description of the problem. Provided that any non-compliance with the above warranty is reported in writing to EQUA no more than ninety (90) days following delivery to you, EQUA will use reasonable commercial efforts to supply you with a replacement copy of the Software that substantially conforms to the documentation, provide a replacement for defective media, or refund to you your purchase price for the Software, at its option. EQUA shall have no responsibility if the Software has been altered in any way, if the media has been damaged by misuse, accident, abuse, modification or misapplication, or if the failure arises out of use of the Software with other than a recommended hardware configuration. Any such misuse, accident, abuse, modification or misapplication of the Software will void the warranty above. This remedy is the sole and exclusive remedy available to you for breach of express or implied warranties with respect to the software and related documentation.

9. LIMITATION OF LIABILITY
(a) Neither EQUA nor its suppliers shall be liable to you or any third party for any indirect, special, incidental, punitive, cover or consequential damages (including, but not limited to, damages for the inability to use equipment or access data, loss of business, loss of profits, business interruption or the like), arising out of the use of, or inability to use, the Software and based on any theory of liability including breach of contract, breach of warranty, tort (including negligence), product liability or otherwise, even if EQUA or its representatives have been advised of the possibility of such damages and even if a remedy set forth herein is found to have failed of its essential purpose.

(b) EQUA's total liability to you for actual damages for any cause whatsoever will be limited to the amount paid by you for the software that caused such damage.

(c) Some countries and states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you and you may also have other legal rights that vary from country to country, and from state to state.

(d) The foregoing limitations on liability are intended to apply to the warranties and disclaimers above and all other aspects of this EULA.

10. BASIS OF BARGAIN
The Limited Warranty and Disclaimer, Exclusive Remedies and Limited Liability set forth above are fundamental elements of the basis of the agreement between EQUA and you. EQUA would not be able to provide the Software on an economic basis without such limitations. Such Limited Warranty and Disclaimer, Exclusive Remedies and Limited Liability inure to the benefit of EQUA's licensors.

11. CONSUMER END USERS ONLY
The limitations or exclusions of warranties and liability contained in this EULA do not affect or prejudice the statutory rights of a consumer, i.e., a person acquiring goods otherwise than in the course of a business.
The limitations or exclusions of warranties, remedies or liability contained in this EULA shall apply to you only to the extent such limitations or exclusions are permitted under the laws of the jurisdiction where you are located.

12. THIRD PARTY ACKNOWLEDGEMENTS
(a) Certain software libraries included with the EQUA Software are free software and licensed under the terms of the GNU General Public License (GPL) and Lesser General Public License (LGPL). You may obtain a complete machine-readable copy of the source code for such free software under the terms of GPL and LGPL without charge except for the cost of media, shipping, and handling, upon written request to EQUA. The software is distributed in the hope that it will be useful, but without any warranty, without even the implied warranty of merchantability or fitness for a particular purpose. A copy of the GPL and LGPL is included with the EQUA Software.

(b) This Software has been licensed to embed portions of the ASHRAE IWEC Weather Files Version 2.0. ASHRAE assumes no responsibility for the inclusion of the ASHRAE IWEC Weather Files in this program. The entire risk as to the quality and performance of the ASHRAE IWEC Weather Files program and data is with the user. In no event will ASHRAE be liable for any damages including and without limitation, any lost profits or other incidental or consequential damages arising out of the Software.

13. AMENDMENTS
EQUA reserves the right to change, from time to time, the prices at any given time, as well as to make minor amendments to the terms and conditions governing the use of EQUA products and services and/or the contents, scope and method of delivery of the supplied products and services. Furthermore, EQUA reserves the right to make updates and/or upgrades and adaptations of products and services supplied by EQUA. These shall always preserve and contain such functionality and quality as can reasonably be expected from products and services the customer has purchased from EQUA.

14. GENERAL
These terms and conditions shall be governed by and construed in accordance with the laws of Sweden. Any dispute regarding the interpretation and/or application of this agreement shall on each occasion be settled by a Swedish court of law in accordance with Swedish law, and shall be conducted in either the Swedish or English language.
This EULA contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. You agree that any varying or additional terms contained in any purchase order or other written notification or document issued by you in relation to the Software licensed hereunder shall be of no effect. The failure or delay of EQUA to exercise any of its rights under this EULA or upon any breach of this EULA shall not be deemed a waiver of those rights or of the breach.
No EQUA dealer, agent or employee is authorized to make any amendment to this EULA.
If any provision of this EULA shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this EULA will remain in full force and effect.

EQUA and other trademarks contained in the Software are trademarks or registered trademarks of EQUA Simulation AB.
